{"id":890,"date":"2026-08-30T21:23:25","date_gmt":"2026-08-30T19:23:25","guid":{"rendered":"https:\/\/sanz-avocat.com\/?p=890"},"modified":"2026-08-30T23:18:30","modified_gmt":"2026-08-30T21:18:30","slug":"merger-control-new-notification-thresholds-applicable-in-france","status":"publish","type":"post","link":"https:\/\/sanz-avocat.com\/index.php\/en\/2026\/08\/30\/merger-control-new-notification-thresholds-applicable-in-france\/","title":{"rendered":"Merger control: new notification thresholds applicable in France"},"content":{"rendered":"\n<h2 class=\"wp-block-heading\">Which Thresholds?<\/h2>\n\n\n\n<p class=\"is-style-default has-medium-font-size wp-block-paragraph\">As from 1 September 2026, new merger control thresholds will apply (<em>Law No. 2026-403, 26 May 2026<\/em>):<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li class=\"has-medium-font-size\">if EU thresholds are not met, transactions must be notified to the French Competition Authority where the parties (acquirer(s), other controlling shareholders and target) have a combined worldwide consolidated turnover exceeding <strong>\u20ac250 million<\/strong> (excluding taxes), and at least two of those parties each generate consolidated turnover in France exceeding <strong>\u20ac80 million<\/strong> (excluding taxes);<\/li>\n\n\n\n<li class=\"has-medium-font-size\">the specific thresholds in the <strong>retail sector<\/strong> are increased: the parties&rsquo; combined worldwide consolidated turnover must exceed <strong>\u20ac100 million<\/strong> (excluding taxes), and at least two of those parties each generate consolidated turnover in retail exceeding <strong>\u20ac20 million<\/strong> (excluding taxes).<\/li>\n<\/ul>\n\n\n\n<p class=\"has-medium-font-size wp-block-paragraph\">The thresholds in the <strong>overseas territories<\/strong> remain unchanged: <\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li class=\"has-medium-font-size\">Outside retail trade: the aggregate worldwide turnover of the parties must exceed \u20ac75 million (excluding taxes), and at least two of the parties each generate turnover in the French overseas territories of more than \u20ac15 million (excluding taxes);<\/li>\n\n\n\n<li class=\"has-medium-font-size\">For retail trade: the aggregate worldwide turnover of the parties exceeds \u20ac75 million (excluding taxes), and at least two of the parties each generate retail turnover in the French overseas territories of more than \u20ac5 million (excluding taxes.<\/li>\n<\/ul>\n\n\n\n<figure class=\"wp-block-image alignwide size-large\"><img loading=\"lazy\" decoding=\"async\" width=\"1024\" height=\"455\" src=\"http:\/\/sanz-avocat.com\/wp-content\/uploads\/2026\/08\/New-thresholds-EN-3-1024x455.png\" alt=\"\" class=\"wp-image-698\" srcset=\"https:\/\/sanz-avocat.com\/wp-content\/uploads\/2026\/08\/New-thresholds-EN-3-1024x455.png 1024w, https:\/\/sanz-avocat.com\/wp-content\/uploads\/2026\/08\/New-thresholds-EN-3-300x133.png 300w, https:\/\/sanz-avocat.com\/wp-content\/uploads\/2026\/08\/New-thresholds-EN-3-766x340.png 766w, https:\/\/sanz-avocat.com\/wp-content\/uploads\/2026\/08\/New-thresholds-EN-3-1536x682.png 1536w, https:\/\/sanz-avocat.com\/wp-content\/uploads\/2026\/08\/New-thresholds-EN-3-2048x909.png 2048w\" sizes=\"auto, (max-width: 1024px) 100vw, 1024px\" \/><\/figure>\n\n\n\n<h2 class=\"wp-block-heading\">Managing the New Thresholds Depending on the Transaction Timeline<\/h2>\n\n\n\n<p class=\"has-medium-font-size wp-block-paragraph\">The new thresholds apply only to transactions filed<strong> as from 1 September 2026<\/strong>, i.e. those whose closing occurs after this date (see French competition authority&rsquo;s <a href=\"https:\/\/www.autoritedelaconcurrence.fr\/sites\/default\/files\/FAQ%20notification%20thresholds_0.pdf\">FAQ<\/a>).<\/p>\n\n\n\n<p class=\"has-medium-font-size wp-block-paragraph\">Any failure to notify a transaction completed prior to 1 September 2026 may expose the parties to gun-jumping penalties where <strong>the former notification thresholds<\/strong> were triggered.<\/p>\n\n\n\n<p class=\"has-medium-font-size wp-block-paragraph\">Where a transaction has already been pre-notified or notified before that date under the former thresholds, the review process will continue until the Authority issues its decision. However, if the parties do not meet the new thresholds, the pre-notification or notification may still be withdrawn, provided that the transaction has not been implemented prematurely before 1 September, even where the Authority had authorised its implementation by granting a derogation from the standstill obligation.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Published on 30.08.2026.<\/p>\n","protected":false},"excerpt":{"rendered":"<p>Which Thresholds?
